Can anyone tell me WTF this thing wants to access the
internet *every time* the machine starts up?
I mean, it's supposed to check that the copy of XP is valid
- once it's done that, why does it need to keep checking
every start-up?

My guess is in case they discover new pirated serial numbers have been
used.

Q: What happens when WGA Notifications communicates with Microsoft
when a PC is booted up?
A: The pilot version of this software periodically contacts Microsoft
after validation. This feature has been removed from the final version of
WGA Notifications. WGA validation process does communicate with Microsoft
periodically.

Because they can?
It can be disabled as has been pointed out.
Really does run very close to most definitions of spyware, that.
